This individual would primarily be focused on corporate mergers and acquisitions (including associated due diligence and document drafting). He/she would also work closely with other members of the AmeriLife's legal and executive leadership teams on a broad range of projects and legal initiatives as needs arise (including supporting other members of the legal team with corporate, transactional, regulatory, compliance and corporate governance matters).Job DescriptionDuties/Responsibilities[The following reflects duties for this job but does not restrict the tasks that may be assigned. Management may assign or reassign duties and responsibilities to this job at any time for business reasons.]Assist with AmeriLife's mergers and acquisitionsAssist AmeriLife's Legal and M teams in preparation of letters of intent, term sheets and analysis of transaction opportunitiesDrafting of acquisition and related agreementsAssist with legal due diligence activitiesAssist in review and preparation of disclosure schedulesAssist with development and implementation of integration plansSupport AmeriLife's commercial business activities by using independent judgment and discretion in drafting, reviewing, interpreting, and negotiating a variety of contracts and other legal documents (including drafting and negotiating agreements, client and vendor agreements, consulting agreements, software license and service agreements, insurance carrier appointments and other insurance-related documents and agreements)Advising business teams on compliance with AmeriLife legal policies and procedures, as well as, assisting with regulatory, compliance and corporate governance matters generally.Assist in corporate secretary functions, including drafting meeting minutes, written consents and development of meeting agendas.Identify proactive solutions that will eliminate or mitigate risksAnalyze legacy contracts to determine applicable terms, conditions, and growth opportunitiesHandle complex, significant matters that cut across legal and related areasKeep abreast of legislative or regulatory changesAnticipate issues and estimate risks strategicallyBase each decision-making process on ethics and integrityQualificationsMinimum Job RequirementsBachelor's Degree, and Juris Doctor Degree from an ABA Accredited Law School requiredLicense to practice law in at least one state (preferably Florida) required3-5 years of legal experience (whether with mergers & acquisitions (M), real estate closings, securities offerings or commercial finance closings) with a regionally or nationally recognized law firm and/or an in-house legal department preferredKnowledge, Skills, and AbilitiesStrong project management skills, including the ability to prioritize, balance, and manage multiple tasks simultaneouslyAbility to appreciate the importance of meeting deadlinesThe ability to concisely and effectively communicate complex matters in oral and written form is requiredA strong work ethicSolid analytical skills and solution-driven thinking; exceptional problem-solving, organizational and analytical skills and demonstrated attention to detailIntellectual curiosity and active desire to learn about AmeriLife's products, technology and market segmentsDemonstrates the organization's core values, exuding behavior that is aligned with AmeriLife's cultureMaintain confidentiality and exercise a high standard of judgment and discretionFlexibility to work overtime, as needed
